These Terms of Service (hereinafter referred to as “these Terms”) define the conditions for using the Medical M&A and Business Succession Support Service “M&A Medical” (https://ma-med.net/, hereinafter referred to as “this Service”) operated by CentralMedience Inc. (hereinafter referred to as “the Company”). Users who use this Service (hereinafter referred to as “Users”) should use it after agreeing to these Terms.
Article 1 (Scope of Application)
These Terms shall apply to all relationships between Users and the Company concerning the use of this Service.
Article 2 (User Registration)
Inquiries, free consultations, free preliminary assessments, and newsletter subscriptions for this Service are completed by the User submitting information in the manner prescribed by the Company. The Company may not approve an application if the applicant falls under any of the following categories.
- If false information is provided at the time of application
- If the applicant has previously violated these Terms
- In other cases where the Company deems the use inappropriate
Article 3 (Handling of Personal Information)
The Company shall appropriately handle personal information acquired in connection with the use of this Service in accordance with the Company’s Privacy Policy.
Article 4 (Prohibited Actions)
When using this Service, Users must not engage in the following actions.
- Actions that violate laws or public order and morals
- Actions related to criminal acts
- Actions that infringe upon the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of the Company, other users of this Service, or third parties
- Actions that interfere with the operation of this Service
- Actions of unauthorized access or attempts thereof
- Other actions that the Company deems inappropriate
Article 5 (Confidentiality)
The Company shall not disclose or leak confidential information such as business information, financial information, and medical information provided by the User to third parties without the prior consent of the User. After the execution of a Non-Disclosure Agreement (NDA), information shall be handled in accordance with its contents.
Article 6 (Success Fee System)
The M&A brokerage and business succession support services of this Service operate on a success fee basis. Initial consultations, preliminary assessments, and introductions to potential partners are provided free of charge, and a prescribed fee will be charged only when a transfer or acquisition is successfully completed. The specific fee structure will be clearly stated before the contract is concluded.
Article 7 (Disclaimer)
The Company shall not be liable for any damages arising from changes, interruptions, or termination of this Service. The information provided on this Service is for general informational purposes only, and for application to specific cases, please be sure to consult with each expert.
Article 8 (Changes to Terms)
The Company may change these Terms without prior notice to Users if it deems it necessary.
Article 9 (Governing Law and Jurisdiction)
These Terms shall be governed by the laws of Japan. In the event of any dispute concerning this Service, the Tokyo District Court shall be the exclusive court of first instance.
